ICICI Prudential AMC to Acquire ICICI Securities PMS Business via Slump Sale

ICICI Prudential Asset Management Company (ICICI Prudential AMC) announced on Monday that its board has approved the purchase of ICICI Securities’ portfolio management services (PMS) business through a slump sale. The transaction is still subject to regulatory approvals.

Once approved, the deal will widen ICICI Prudential AMC’s PMS portfolio. The PMS unit currently manages assets worth Rs 2,910 crore as of March 31, 2026. The exact amount of assets that will be transferred will be confirmed on the transfer date after all approvals are obtained.

The transaction is expected to be completed within a year, provided all regulatory clearances are secured. The consideration for the sale will be paid in cash. An independent valuer will determine the price, which will be 1.20 percent of the actual assets transferred.

The PMS business mainly serves high‑net‑worth individuals and offers tailored investment solutions. It provides discretionary, non‑discretionary and advisory mandates.

Revenue from the PMS unit was Rs 20.88 crore in FY 26, down from Rs 25.30 crore in FY 25. The acquisition is seen as a move to strengthen ICICI Prudential AMC’s presence in the high‑end asset‑management segment.
